Terms of Service - PathConvert

1. Introduction

Welcome to PathConvert ("we," "our," or "us"), operated by PathConvert Ltd. These Terms of Service ("Terms") govern your access to and use of the PathConvert application ("App" or "Service") available through the Shopify App Store.

By installing, accessing, or using PathConvert, you ("Merchant," "you," or "your") agree to be bound by these Terms. If you do not agree to these Terms, you may not use the Service.

2. Service Description

PathConvert is a Shopify application that provides AI-powered collection navigation recommendations for Shopify merchants. The Service:

Analyzes your product collections using artificial intelligence
Generates semantic embeddings to determine collection similarity
Displays smart navigation buttons on collection pages
Provides a one-click deployment solution for collection cross-selling

3. Eligibility

To use PathConvert, you must:

Be at least 18 years of age
Have a valid Shopify store
Have the legal authority to bind yourself or your business to these Terms
Comply with all applicable laws and regulations
Not be located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country

4. Account Registration and Security

4.1 Installation

You must install PathConvert through the Shopify App Store and authorize our App to access your Shopify store data as described in our Privacy Policy.

4.2 Account Security

You are responsible for:

Maintaining the security of your Shopify account
All activities that occur under your account
Notifying us immediately of any unauthorized access or security breach

4.3 Accurate Information

You agree to provide accurate, current, and complete information during installation and to update such information to maintain its accuracy.

5. Acceptable Use

5.1 Permitted Use

You may use PathConvert solely for its intended purpose of improving collection navigation on your Shopify store.

5.2 Prohibited Activities

You may NOT:

Use the Service for any illegal or unauthorized purpose
Violate any laws in your jurisdiction (including copyright laws)
Attempt to reverse engineer, decompile, or disassemble the Service
Use automated means to access the Service without our express written permission
Interfere with or disrupt the Service or servers/networks connected to the Service
Attempt to gain unauthorized access to any portion of the Service
Use the Service to transmit viruses, malware, or other malicious code
Remove, obscure, or alter any proprietary rights notices
Resell, sublicense, or provide access to the Service to third parties
Use the Service in violation of Shopify's Terms of Service or Acceptable Use Policy
Sell or promote products that violate Shopify's Acceptable Use Policy

5.3 Compliance with Shopify Policies

You agree to comply with:

Shopify's Terms of Service
Shopify's Acceptable Use Policy
Shopify's API License and Terms of Use
All applicable Shopify Partner Program requirements

6. Fees and Payment

6.1 Free Trial

New users receive a 1-day (24-hour) free trial with full access to all features. The trial period:

Begins upon app installation
Cannot be extended, paused, or restarted
Is limited to one per Shopify store domain, regardless of uninstall/reinstall cycles
Provides full access to all Service features during the trial period

After the trial expires, an active paid subscription is required to continue using the Service. If you do not subscribe, the Service functionality (including collection buttons on your storefront) will be paused until you subscribe.

6.2 Pricing

PathConvert is a paid subscription service. Current pricing is available in the Shopify App Store listing and within the App.

6.3 Billing

Charges are billed through Shopify's billing system
All fees are in USD unless otherwise stated
Fees are non-refundable except as required by law or as explicitly stated in these Terms

6.4 Payment Authorization

By subscribing to PathConvert, you authorize Shopify to charge your payment method on file for all applicable fees.

6.5 Price Changes

We reserve the right to change our pricing with 30 days' notice. Price changes will not affect your current billing cycle but will apply to subsequent renewals.

6.6 Taxes

All fees are exclusive of taxes, duties, or similar governmental assessments. You are responsible for all applicable taxes.

7. Cancellation and Termination

7.1 Cancellation by You

You may cancel your subscription at any time by uninstalling the App from your Shopify store. Cancellation takes effect at the end of your current billing period.

7.2 Termination by Us

We may suspend or terminate your access to the Service immediately, without prior notice or liability, for any reason, including:

Violation of these Terms
Non-payment of fees
Fraudulent or illegal activity
At our sole discretion if we cease offering the Service

7.3 Effect of Termination

Upon termination:

Your right to use the Service ceases immediately
All data will be deleted in accordance with our Privacy Policy
You remain responsible for any fees incurred prior to termination
Sections 8, 9, 10, 11, 12, 13, 14, and 15 survive termination

7.4 Data Deletion

Upon uninstallation, your shop data will be permanently deleted within 48 hours via Shopify's mandatory shop/redact webhook, as detailed in our Privacy Policy.

8. Intellectual Property Rights

8.1 Our Property

PathConvert and all related technology, including the software, algorithms, user interface, design, logos, and content, are owned by PathConvert Ltd and protected by intellectual property laws.

8.2 License Grant to You

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose.

8.3 Your Data

You retain all ownership rights to your store data, including product and collection information. By using the Service, you grant us a limited license to use your data solely to provide the Service as described in our Privacy Policy.

8.4 Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate such feedback without compensation or attribution.

9. Third-Party Services

9.1 Integration with Shopify

PathConvert integrates with and relies on Shopify's platform. Your use is also subject to Shopify's Terms of Service.

9.2 Third-Party AI Services

We use OpenAI's API for AI processing. Data sent to OpenAI is governed by OpenAI's privacy policy and terms of service, as disclosed in our Privacy Policy.

9.3 Third-Party Hosting

Our Service is hosted on Render infrastructure. We are not responsible for any third-party service interruptions.

9.4 No Endorsement

We do not endorse any third-party services and are not responsible for their content, products, or services.

10. Disclaimers and Warranties

10.1 "AS IS" Service

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO:

Warranties of merchantability
Fitness for a particular purpose
Non-infringement
Accuracy, reliability, or completeness of content
Uninterrupted or error-free operation
Freedom from viruses or harmful components

10.2 AI-Generated Recommendations

AI-generated collection recommendations are provided for informational purposes only. We do not guarantee:

Accuracy of recommendations
Increased sales or conversions
Specific business results

10.3 Your Responsibility

You are solely responsible for:

Evaluating the suitability of recommendations for your business
Testing the Service before deploying to production
Maintaining backups of your data
Compliance with applicable laws

10.4 No Professional Advice

PathConvert does not provide business, legal, or financial advice. Consult appropriate professionals for such advice.

11. Limitation of Liability

11.1 Exclusion of Damages

TO THE MAXIMUM EXTENT PERMITTED BY LAW, PATHCONVERT LTD, ITS DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR:

Indirect, incidental, special, consequential, or punitive damages
Loss of profits, revenue, data, or business opportunities
Service interruptions or errors
Unauthorized access to your data
Actions or omissions of third parties
Any damages arising from your use or inability to use the Service

EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11.2 Cap on Liability

Our total liability to you for all claims arising from or related to the Service shall not exceed the greater of:

£100 (one hundred British pounds), OR
The amount you paid us in the 12 months preceding the claim

11.3 Jurisdictional Limitations

Some jurisdictions do not allow exclusion of certain warranties or limitations on liability. In such jurisdictions, our liability is limited to the maximum extent permitted by law.

12. Indemnification

You agree to indemnify, defend, and hold harmless PathConvert Ltd, its directors, officers, employees, agents, and affiliates from any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from:

Your use or misuse of the Service
Your violation of these Terms
Your violation of any laws or regulations
Your violation of any third-party rights
Your store content or products
Any negligent or wrongful conduct by you

13. Data Privacy and Security

13.1 Privacy Policy

Our collection, use, and protection of your data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

13.2 Data Security

While we implement industry-standard security measures, we cannot guarantee absolute security. You acknowledge that you provide data at your own risk.

13.3 GDPR and CCPA Compliance

We comply with GDPR and CCPA as detailed in our Privacy Policy. You have rights to access, rectify, erase, and port your data.

14. Changes to Terms

14.1 Modification Rights

We reserve the right to modify these Terms at any time. Changes will be effective:

Immediately for new users upon posting, OR
30 days after notice to existing users for material changes

14.2 Notice of Changes

We will notify you of material changes by:

Email to your shop owner email address
In-app notification
Updating the "Last Updated" date at the top of these Terms

14.3 Acceptance of Changes

Your continued use of the Service after changes become effective constitutes acceptance of the modified Terms. If you do not agree, you must stop using the Service and uninstall the App.

15. General Provisions

15.1 Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles.

15.2 Dispute Resolution

Any disputes arising from these Terms or the Service shall be resolved in the courts of England and Wales. You irrevocably consent to the exclusive jurisdiction of such courts.

15.3 Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

15.4 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and PathConvert Ltd regarding the Service and supersede all prior agreements.

15.5 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
